Board of Directors
The Board of Directors serves as the governing body of EDCNS, and is the legal custodian of its assets.
The Board makes policy and planning decisions to advance the Vision, Mission and Objectives of EDCNS with respect to the economic health and prosperity of the community, and is responsible to assist in effective governance of the organization.
A Board Director is expected to be fully informed on organizational matters and engage in the Board’s deliberations and decisions on matters of policy, finance, programs, advocacy and personnel.

Board Member Roles and Responsibilities
- Commit to and be an enthusiastic champion of the Vision, Mission and Objectives of EDCNS;
- Consider and make decisions on matters of policy, and recommendations received from other Board Directors, standing committees and staff;
- Review applicable Bylaws and policies, ensure compliance with these governing documents, and recommend changes as appropriate;
- Approve, oversee and monitor the annual work plan and operating budget;
- Review Board structure, recommend and approve changes, when necessary;
- Approve the hiring and release of the Economic Development Director, and other staff as necessary;
- Participate in annual evaluation of staff;
- Assist in developing and maintaining positive relationships with fellow Board and committee members, with EDCNS staff, the Municipalities, and with the community in order to enhance the Mission of EDCNS;
- Attend and participate in Board meetings (approximately 10 times annually), preferably in person, or when necessary, by conference call;
- Attend and participate in the Annual General Meeting held in May;
- Be willing to assist on specialized committees, which could include attending additional meetings and other time expenditures outside of Board meetings;
- Support special events and attend Council meetings, when called upon.
Composition of the Board
The Board is comprised of no less than twelve (12) and no more than fourteen (14) Directors as follows:
- One member of Council or CAO from and appointed by each of the four North Simcoe municipalities;
- No less than six (6) and no more than eight (8) Directors from the community;
- A Board intern as an ex-officio member; and,
- The Economic Development Officer of EDCNS as an ex-officio member.
Term of Office
Municipal representatives serve a term of no more than four years to coincide with their respective term of office on Council. CAO’s serve a term of four years or as otherwise directed by their respective Council. Other Board Directors generally serve an initial term of two years or three years up to a maximum of 9 years. However, this may be varied from one to three years in order to stagger the terms of Directors so that the Board is replenished on a rolling basis.
